LUMATI WHOLESALE PROGRAM
Terms & Conditions
By submitting a wholesale application, you acknowledge that you have read, understood, and agree to the following terms and conditions. These terms govern all wholesale purchases from Lumati.
1. Pricing & Orders
• All wholesale pricing is confidential and may not be shared publicly or with unauthorized parties.
• Minimum order quantities (MOQs) apply per SKU as outlined in the current wholesale price sheet.
• Prices are subject to change with 30 days' written notice. Existing confirmed orders will be honored at the original quoted price.
• All orders are subject to product availability.
2. Payment
• Payment is due in full at the time of order. Lumati does not currently offer net payment terms.
• All payments must be made via approved methods as outlined during the ordering process.
• Lumati reserves the right to modify payment terms at any time.
3. Resale & Distribution
• Products purchased at wholesale are intended for resale through your authorized retail location(s), clinic(s), or approved online storefront(s) only.
• Resale on third-party marketplaces (Amazon, eBay, Walmart Marketplace, etc.) is prohibited without prior written authorization from Lumati.
• You may not distribute, resell, or transfer products to any other wholesaler, distributor, or unauthorized retailer.
4. Minimum Advertised Price (MAP) Policy
• All Lumati products must be advertised at or above the listed MSRP.
• MAP Pricing is intended for short-term promotional pricing sales at no more than 10% discount, no more than 2 weeks per quarter in a calendar year.
• Violation of the MAP policy may result in suspension or termination of your wholesale account.
5. Brand & Marketing Compliance
• You may use Lumati-provided brand assets (logos, product images, descriptions) for the purpose of reselling authorized products.
• All custom marketing materials featuring Lumati products or branding must be approved by Lumati prior to publication.
• You agree not to make any health claims about Lumati products beyond those provided in official Lumati materials. All marketing must comply with applicable FTC and FDA guidelines.
• All claims regarding supplement benefits, ingredients, or efficacy must be substantiated and consistent with Lumati-approved messaging. Partners may not make disease claims or therapeutic claims beyond general wellness support.
6. Returns & Damages
• Damaged or defective products must be reported within 7 days of delivery with photographic documentation.
• Returns of unopened, undamaged products may be accepted within 30 days of delivery at Lumati's discretion, subject to a 15% restocking fee.
• Lumati does not accept returns on opened or used products.
7. Shipping
• Orders are shipped FOB origin (San Diego, California). Risk of loss transfers to the buyer upon carrier pickup.
• Shipping costs are the responsibility of the buyer unless otherwise agreed in writing.
8. Consignment Arrangements
In select situations, Lumati may offer consignment arrangements to approved clinic or retail partners at its sole discretion. Consignment terms are governed by a separate written consignment agreement and are subject to the following general conditions:
• Consignment inventory remains the property of Lumati until sold to the end consumer.
• The consignment partner is responsible for the safekeeping, proper storage, and display of all consigned products.
• Consigned products may not be relocated, transferred, or distributed to any other location or party without prior written approval from Lumati.
• The consignment partner agrees to remit payment to Lumati for all sold consignment products on a monthly basis (or as specified in the consignment agreement), within 15 days of the close of each reporting period.
• Revenue share or commission structure will be defined in the individual consignment agreement between Lumati and the partner.
• Lumati reserves the right to audit consignment inventory at any time with reasonable notice.
• Unsold consignment inventory must be returned to Lumati in original, sellable condition upon request or upon termination of the consignment arrangement, within 30 days of the terminated agreement.
• Loss, damage, or theft of consignment inventory while in the partner's possession is the financial responsibility of the partner.
9. Account Standing & Termination
• Lumati reserves the right to approve or deny any wholesale application at its sole discretion.
• Lumati may suspend or terminate any wholesale account for violation of these terms, non-payment, or conduct that may harm the Lumati brand.
• Upon termination, you must cease representing yourself as an authorized Lumati reseller and remove all Lumati branding from your channels within 14 days.
10. Limitation of Liability
• Lumati's liability shall not exceed the purchase price of the products in question.
• Lumati is not liable for any indirect, incidental, or consequential damages arising from the purchase or resale of its products.
11. Modifications
• Lumati reserves the right to update these terms at any time.
• Continued ordering after notification of changes constitutes acceptance of the revised terms.
12. Supplement Sales & Compliance
• Dietary Supplement Disclaimer: All Lumati supplements (Lumati Green, Lumati Red, and Lumati Gold, and any other dietary supplement products) are intended to support general wellness and are not intended to diagnose, treat, cure, or prevent any disease. Partners must include this disclaimer in any marketing materials or at point of sale where required.
• Qualified Sales Personnel: If products are sold in a clinical setting, partners should ensure staff providing product information are appropriately trained on general supplement education and understand the difference between general wellness information and medical advice.
• No Prescription Required: Lumati supplements are dietary supplements and do not require a prescription. Partners may not represent them as prescription products or pharmaceuticals.
• Contraindications & Interactions: Partners should direct customers to consult their healthcare provider before use if they are pregnant, nursing, taking medications, or have a medical condition. Partners may reference general contraindications provided by Lumati but should not provide personalized medical advice.
• Storage Requirements: Partners must store all supplement products in accordance with label instructions (typically cool, dry place away from direct sunlight) to maintain product integrity and shelf life.
• Expiration Date Management: Partners are responsible for monitoring and rotating inventory to ensure only products within their expiration date are sold to consumers.
• Third-Party Testing: Partners may reference Lumati's third-party testing and quality certifications as provided in official marketing materials, but may not make additional unverified claims about testing or purity.
